1. Who we are and what these terms cover

SolidGood Strata (also called Strata Hub) is provided by Building Waves Tech Ltd, a British Columbia company, trading as SolidGood ("SolidGood", "we", "us"). It is a private online hub where a strata corporation shares information with its owners, residents and council. These terms cover the SolidGood Strata website and app, and its optional connector for AI apps.

There are two kinds of users:

  • the strata corporation that uses SolidGood Strata, acting through its council or strata manager (the "Strata"); and
  • members: the owners, residents, council members and managers the Strata invites ("you").

By using SolidGood Strata you agree to these terms. A council member who accepts them for a Strata confirms they have the council's authority to do so.

2. The service

SolidGood Strata lets the Strata publish announcements, maintenance updates, house rules, recycling information, documents and deadlines, and lets members read them.

SolidGood Strata is a tool. It isn't a strata manager, a law firm or a payment service. The Strata is responsible for its own obligations under the Strata Property Act, its bylaws and other laws, including notice and record-keeping rules. SolidGood Strata doesn't hold, transfer or process money for the Strata.

3. Accounts and roles

  • Accounts are by invitation from the Strata only. Keep your sign-in details secure, and tell us promptly at hello@buildingwaves.tech if you think someone else has used your account.
  • Your role (member, manager or council admin) decides what you can see and do. The Strata decides roles and can end your access, for example when you sell or move out.
  • SolidGood Strata isn't directed at children. The Strata is responsible for inviting only people it is entitled to invite.

4. Fees

SolidGood Strata is free during the pilot. We don't take payment or ask for a card during the pilot. We'll give the Strata notice before the pilot ends or any pricing starts. Members don't pay to use SolidGood Strata.

5. Acceptable use

You agree not to:

  • post anything unlawful, defamatory, harassing or discriminatory, or anything that breaks someone else's rights or privacy;
  • share other members' personal information outside SolidGood Strata without a lawful reason;
  • try to see information your role doesn't allow, test or bypass security without our written permission, or overload the service;
  • use SolidGood Strata for advertising or unrelated commercial messages; or
  • copy, resell or reverse-engineer SolidGood Strata, except where the law allows it.

The Strata may moderate content its members post. We may suspend access that puts the service or other people at risk.

6. Data

  • The Strata's records belong to the Strata. Documents, announcements and other content the Strata posts are its records. We host and process them only to provide, secure, support and improve SolidGood Strata, as described in our Privacy Policy.
  • Personal information. For members' personal information, each Strata controls its own data and we act as the Strata's service provider under BC's Personal Information Protection Act. The Strata is responsible for its own notices and consents. SolidGood Strata records your acceptance of these terms and the privacy policy, and your choices about receiving notices by email.
  • What we don't do. We don't sell data, use it for advertising, or use it to train AI models.
  • Location. The Strata's records (our database and file storage) are stored in a Canadian data centre. Some of our service providers, such as those for sign-in, hosting and email, may process some information outside Canada. The Privacy Policy lists them and what they do.
  • Staff access. Our team doesn't browse a Strata's information. We access it only to help when the Strata asks, to keep the service secure and working, or when the law requires it. The Privacy Policy explains how that works in practice.
  • Retention and deletion. We keep and delete data as set out in the Privacy Policy. When a Strata stops using SolidGood Strata, we'll tell it by email how long it has to export its records before we delete them. We then delete them, except where the law requires us to keep them or a legal hold applies.

7. AI app connections

Where AI app connections are switched on for a Strata:

  • You can connect an AI app to your own account through our connector. The app sees and does only what your role allows, and you can choose read only.
  • Publishing, changing house rules and managing members ask for your approval each time. Some actions are never available to AI apps, for example deleting content, changing roles, setting legal holds and changing strata settings.
  • Information the AI app retrieves goes to that app's provider and is handled under the provider's terms, not ours. The provider may be outside Canada. Don't connect an AI app if you aren't comfortable with that for the information you can see, especially council-only information.
  • You're responsible for actions you approve through an AI app, as if you had taken them yourself.
  • You can disconnect at any time.
  • AI app connections are off by default for each Strata. We switch them on for a Strata only when that Strata is set up for it, and the Strata can ask us at hello@buildingwaves.tech to switch them off.

8. Availability and changes

We work to keep SolidGood Strata available, but we don't promise it will be uninterrupted or error-free. We may carry out maintenance and change features, and we'll give the Strata reasonable notice before removing a major feature. SolidGood Strata is not a substitute for the notice methods the Strata Property Act or your bylaws require, unless the Strata has set it up to meet them.

9. Disclaimer

Except as written in these terms, SolidGood Strata is provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties. SolidGood Strata doesn't give legal or financial advice.

10. Limitation of liability

To the extent the law allows, we aren't liable for indirect or consequential losses arising from use of SolidGood Strata. These limits don't apply where the law doesn't allow them to.

11. Ending your use

  • Members can stop using SolidGood Strata at any time and can ask the Strata or us to close their account.
  • The Strata can stop using SolidGood Strata at any time by emailing us at hello@buildingwaves.tech.
  • We may suspend or end access for serious or repeated breaches of these terms, or if we stop offering SolidGood Strata, with reasonable notice where possible.
  • Sections 6, 9, 10 and 13 continue after use ends.

12. Changes to these terms

We may update these terms. For material changes, we'll notify the Strata and its members by email or in the app before the change takes effect, and we'll show the new effective date at the top of these terms.

13. Governing law

These terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. The courts of British Columbia, sitting in Vancouver, have exclusive jurisdiction, unless the law gives you another right.
